CONSTITUTION OF THE LA CROSSE CURLING CLUB (03-12-20)

PREAMBLE

The La Crosse Curling Club is a non-profit organization without capitol stock promoting curling among its members and the fostering of good fellowship.

 

ARTICLE I -- NAME

 

The name of the organization shall be designated as the La Crosse Curling Club.

 

ARTICLE II -- GOVERNING BODY

 

The governing body of the La Crosse Curling Club shall consist of the Board of Directors elected by the voting members (as defined below) of the La Crosse Curling Club and the Board of Directors shall elect the officers of the said La Crosse Curling Club from their own membership.

ARTICLE III -- AMENDMENTS

 

This Constitution may be amended from time to time at the regular annual meeting or at special meetings called by the governing body of the La Crosse Curling Club, provided that,

(1)  The Secretary shall give written notice to each full member of proposed amendment not less than 10 days prior to such meeting, setting forth  each proposed amendment.

(2)  Members may request amendment additions or changes by giving written notice signed by 3 members to the Board.

(3)  A quorum for amending the Constitution shall consist of 25 or 25% (whichever is less) of the active members of the La Crosse Curling Club.

(4)  An amendment to the Constitution to be passed must be affirmed by three fourths of the members present at such meeting.

                                      

ARTICLE IV -- MEMBERSHIP

 

The membership of the La Crosse Curling Club shall at all times consist of such persons, male or female, as are members in good standing of the La Crosse Curling Club, as shown by the records of the Club.  Any person ceasing from any cause to be a member of the Club as aforesaid shall also at the same time cease to be a member of this Corporation.

 

ARTICLE V -- BY-LAWS

 

Proper by-laws to control the duties of the officers and to regulate the affairs of the La Crosse Curling Club including the action of the members of the La Crosse Curling Club, the control of the property of the La Crosse Curling Club, meetings of the Board of Directors and members of the La Crosse Curling Club, and such other things as shall be necessary or proper for the carrying on of the business of the La Crosse Curling Club shall be enacted.

 

ARTICLE VI -- CONTRACTS AND OBLIGATIONS

 

The Board of Directors of the La Crosse Curling Club is hereby authorized and empowered to enter into contracts and obligations as it shall in its discretion deem necessary to accomplish the purposes of the Corporation, and such contracts and obligations shall be binding upon the Corporation, subject to restrictions as provided in the by-laws.

 

ARTICLE VII -- DATE EFFECTIVE

 

This Constitution and the by-laws enacted pursuant thereto shall become effective upon passage and any previously passed and adopted by-laws or Constitutional provisions are hereby repealed.

 

BY-LAWS OF THE LA CROSSE CURLING CLUB (03/12/2020)

 

ARTICLE I -- MEMBERSHIP

Section 1: Membership

The membership of the La Crosse Curling Club shall be made up of the following:

(A)  Full Membership

A full member shall be any person purchasing a full membership and in good standing as hereinafter provided and said person shall be limited to one vote (both spouses purchasing a family membership shall each be entitled to 1 vote), and no proxies shall be permitted, and such full membership shall be the only type of membership having a vote in the management of the La Crosse Curling Club.

i. Good standing shall be defined as follows:
All persons having paid dues for the current year and otherwise in good standing as defined by the Board of Directors.

ii. Full memberships shall be unlimited in number and shall consist of adult persons at least 18 years of age purchasing a membership in one of the three following categories: Men, women, family.

(B)  Limited Membership

Limited membership shall be all other memberships as defined by the Board.

 

Section 2: Dues

Dues shall be fixed annually by the Board of Directors.

Dues are payable by the date set by the Board each year.  The Board may prorate the dues of members joining during the season.  The Board shall have the authority to levy delinquency penalties, such as surcharge or loss of privileges, and in special cases may waive or amend any or all annual fees or delinquencies or provide for deferred or installment payments.

 

ARTICLE II -- MEETING OF MEMBERS

Section 1: Annual Meeting

(A)  The annual meeting of the La Crosse Curling Club shall be held at the place designated  by the Board of Directors within 30 days of the end of the curling season of any year for the purpose of electing Directors and transacting any and all such business as may properly come before the meeting.  The Secretary shall send to the members by e-mail notice and/or post at least 10 days advanced written notice of the meeting.

(B)  The order of business at the annual meeting, and so far as is practicable at all other meetings of the voting members, shall be as follows;

i. Calling of Roll

ii. Proof of due notice of meeting or waiver of notice

iii. Reading and disposal of any unapproved minutes

iv. Reports of officers and committees

v. Written communication

vi. Unfinished business

vii. Election of directors

viii. New business

ix. Adjournment

(C)  At each annual meeting the Nominating Committee shall present the name of one member of the La Crosse Curling Club as nominee for each of the offices of president, Vice-President, Secretary, Treasurer, and three (3) members for the offices of directors-at-large.  Each board member serves a three year term on the board (not necessarily in the same officer position).  Three (3) voting members may present in writing to the Secretary, at least ten (10) days before the annual meeting, the names of additional nominees for any position.  The Secretary shall send by e-mail notice and/or post the completed candidacy list at least seven (7) days before the annual meeting.  No person shall be eligible for election unless said person’s name shall have been nominated as provided herein. 

(D)  Special meetings of the full members may be called by the Board of Directors. The Secretary shall send to the members by e-mail notice and/or post at least 10 days in advance the details of such meetings.  Such notice shall include the purpose of the meeting.

     

Section 2: Quorum

The quorum for the annual meeting or any special meeting of the full members shall consist of 25 voting members or 25% (whichever is less) of the full members of the La Crosse Curling Club.

 

ARTICLE III -- BOARD OF DIRECTORS

 

Section 1: METHOD OF ELECTION

The Board of Directors shall consist of no fewer than 7 and no more than 9 Directors who shall annually elect from its Board membership a President, Vice President, Secretary, and Treasurer.  The Directors shall be elected for a term of three years to fill the terms of those Directors whose terms are expiring.  Not more than three elected Directors' terms shall expire in any one year.  The term of any Director shall start upon his or her election and end with the election of his or her successor.

 

Section 2: MEETINGS

The meetings of the Board of Directors shall be on the call of the President and a quorum shall consist of five Directors.

 

Section 3: DUTIES OF DIRECTORS

(A)  The Directors shall have charge of the business and affairs of the La Crosse Curling Club and shall have the power to fill vacancies on the Board which shall occur for any cause during the year, and they shall appoint such committees for the La Crosse Curling Club as they shall deem fit and proper.

(B)  The Board has final approval rights for all activities including:
Bonspiel format and budget, leagues, classes, open houses, and all scheduled and special events of the La Crosse Curling Club.

 

Section 4: LIMITATIONS OF POWERS OF BOARD OF DIRECTORS

The Directors shall not incur any indebtedness on the part of the La Crosse Curling Club in excess of money in the hands of the Treasurer, and the debts, dues, and obligations in process of collection from the membership, less the amount of unexpended appropriations, unless such indebtedness be authorized by the La Crosse Curling Club at the annual meeting or at a special meeting called for that purpose.

 

Section 5: REMOVAL OF BOARD MEMBERS

Members of the Board of Directors of the La Crosse Curling Club may be removed from office, individually and collectively, for cause and or causes stated in writing upon petition presented to the Club bearing the signatures of at least two thirds of all qualified La Crosse Curling Club members as shown by the official records.

 

Section 6: INDEMNIFICATION OF BOARD MEMBERS AND OFFICERS OF THE LA CROSSE CURLING CLUB

Board Members and Officers of the La Crosse Curling Club are held harmless and free from liability by said Corporation for and from actions and procedures taken on behalf of the La Crosse Curling Club that fall within the limitations of the Constitution and By-Laws of the La Crosse Curling Club as duly adopted by the La Crosse Curling Club members in regular or special session.

 

ARTICLE IV – PURPOSE AND DISTRIBUTION UPON DISSOLUTION

 

Section 1: PURPOSE

The LCC is organized for the educational purpose of fostering local, state, national, and international amateur curling competitions under section 501 (c)(3) of the Internal Revenue Code, or corresponding section of any future federal tax code.

 

 

Section 2: DISSOLUTION

Upon the dissolution of the LCC, assets shall be distributed for the one or more exempt purposes within the meaning of section 501 (c)(3) of the Internal Revenue Code, or corresponding section of any future federal tax code or shall be distributed to the federal government or to a state or local government for a public purpose.
